OVERVIEW
The Board of SW8 Consulting consists of seven members. Board minutes have been maintained continuously since February 2017. SW8 Consulting Ltd. was incorporated in March 2019. The twenty-five-month discrepancy is noted in all official filings and described, in the Companies Act statement, as "an administrative consequence of proactive governance undertaken in anticipation of formal establishment." Companies House accepted this description without amendment. The filing officer has since retired. His replacement was asked about the filing. His replacement said the filing looked fine and changed the subject.
Quorum is defined in the articles of association as "the presence of sufficient agreement." This definition has never been challenged. All votes have been unanimous. Position Seven has never dissented, despite never having spoken. Position Seven's vote is recorded in all minutes as ASSENT BY IMPLICATION OF CONTINUED PRESENCE. Legal has confirmed this is, in its words, "not technically not binding."

Position Seven's attendance is confirmed in minutes by the absence of any objection to their continued inclusion. This has been reviewed by two legal firms. The first said it was unusual. The second said it was fine. The first firm has since merged with an entity that does not appear in any company registry.

"That the organisation proceed." — Passed unanimously. No agenda context is recorded. No prior business appears in the minutes. This was the first resolution. There was no zeroth resolution. The absence of a zeroth resolution has been checked. The check produced no zeroth resolution. The check has been archived.
"That the agency accept non-terrestrial engagements where commercially sensible, subject to the standard rate card and the understanding that the standard rate card does not, and cannot, apply." — Passed unanimously. This is the founding authority under which the register of unreportable contracts is maintained. Finance has flagged that several of these engagements are denominated in units that the accounting software rounds to either £0.00 or ∞ depending on the day. Finance has stopped flagging this.
"That the Signal Array be formally decommissioned, but that the tone continue, as the tone is not the Array's to give." — Passed, with one abstention. Position Seven is recorded as having abstained "by virtue of a sustained and attentive absence on the matter of cessation." This is the only abstention in board history.
"That no further resolutions shall be numbered beyond this one." — Passed unanimously. Board minutes continue beyond this point. They contain further resolutions, further decisions, and one agenda item listed only as THE MATTER OF THE SEVENTH DRAWER, followed by three blank pages and then the next item. None of the unnumbered resolutions are numbered. All are binding. All have been enacted. One has not yet become applicable. The board is waiting.
POSITION SEVEN — EXTENDED RECORD
- The seat associated with Position Seven at in-person meetings is always warm when other participants arrive. It remains warm when they leave. Facilities found no heating mechanism under this seat. Facilities submitted a report. The report was warm when printed.
- The IP address logged for Position Seven's remote participation has been traced to a server room in a building demolished in 2014, the site of which is currently a car park. The connection is stable. Latency: 0ms. Packet loss: 0%.
- Companies House records confirm seven directors. Three are named. Four are registered under the designation "Authorised Governance Participant (Structural)." This designation does not exist in Companies House standard filing categories. It was accepted on the night of the Vauxhall Basement Event.
